1. Scope of Service

Ōtautahi Apparel provides:

  • Branding, communication and visual design services

  • Custom apparel and promotional products

  • Printing, embroidery, decoration, and sourcing services

Each project or order is confirmed with a formal quote or proposal outlining the scope, pricing, timelines, and deliverables.

2. Branding, Communication, and Design Projects

2.1 Scope & Process

Every branding or design project is scoped individually. Pricing depends on complexity, design requirements, and usage rights.

We partner with approved external designers who invoice you directly. You’ll work with the designer to refine and approve your artwork, while we ensure your files meet production standards.

Standard process:

  1. Discovery & briefing

  2. Design development

  3. Feedback & refinement

  4. Delivery of final files (released once paid in full)

2.2 Revisions

  • Each project includes one round of revisions unless stated otherwise.

  • Extra revisions or scope changes will be quoted separately.

2.3 Intellectual Property

  • Final approved artwork becomes yours once paid in full.

  • All draft concepts, working files and explorations remain the property of the designer and/or Ōtautahi Apparel unless otherwise agreed.

  • We may showcase your completed project in our portfolio unless it’s commercially sensitive or you request confidentiality.

3. Custom Apparel and Promotional Products

3.1 Orders & Payment

  • A 50% deposit is required before production.

  • Full payment is required before delivery unless we agree otherwise in writing.

  • Prices exclude GST.

  • Any changes after proof approval may incur extra costs.

Where order deposit is not paid, production may be paused until the account is up to date.

3.2 Approvals

  • All artwork and mock-ups must be approved in writing before production.

  • Once approved, production begins and further changes may not be possible.

  • Ōtautahi Apparel reserves the right to refuse designs that contain offensive, defamatory, or copyrighted content without authorisation.

3.3 Production & Delivery

  • Estimated timelines will be given at confirmation, but delays may occur due to suppliers, couriers, or other third-party factors outside our control.

  • Freight is additional unless stated otherwise.

  • Clients must provide accurate delivery details.

  • Delivery is deemed complete once goods are delivered to the specified address, even if unattended.

  • Ōtautahi Apparel is not liable for third-party delays, supply chain issues, or courier damage.

3.4 Variations, Colours & Samples

Like all print and apparel suppliers:

  • Colour variations may occur between screens, proofs, and final product.

  • PMS and CMYK colours will be matched as closely as industry standards allow.

  • Virtual samples are standard; physical samples can be provided at additional cost.

  • Customer-supplied garments or materials are printed at the client's own risk - if the garment is faulty, unsuitable or behaves unexpectedly, Ōtautahi Apparel is not liable for replacement.

3.5 Returns, Refunds & Cancellations

  • All custom orders are final (no returns for change of mind).

  • Returns/exchanges are accepted only for defective items or Ōtautahi Apparel error.

  • Defects must be reported within 7 days of delivery.

  • Cancellations after production starts may incur costs for work completed.

3.6 Product Quality

Ōtautahi Apparel partners with certified suppliers (e.g., OEKO-TEX® STANDARD 100, SGS, WRAP) to ensure ethical and safe production standards.

We are not liable for:

  • Normal wear and tear

  • Improper washing or care

  • Damage caused by misuse

  • Colour fade from UV exposure or harsh detergents

4. Pricing & Payment Terms

  • All pricing is in NZD and excludes GST unless stated.

  • Invoices are due 14 days from invoice date.

  • Projects over $2,000 may require deposits or staged payments.

  • Out-of-scope work is quoted separately.

  • Late payments may incur interest and recovery costs.

5. Risk & Ownership

  • Risk transfers to you upon delivery.

  • Ownership passes only once all invoices are paid in full.

  • If goods are damaged after delivery but before payment, you are responsible for insurance claims.

  • If you ask us to leave goods at an unattended location, this is at your risk.Final design files, branding assets, and approved apparel designs become the client’s property upon full payment.

6. Intellectual Property

  • Final approved creative assets become yours once paid.

  • Drafts, working files, print setups, design explorations, and production files remain our property.

  • You must hold rights to any artwork you supply and indemnify us against copyright claims.

  • Ōtautahi Apparel may use final products in our portfolio or marketing unless you request otherwise.

7. Privacy & Confidentiality

  • We treat all client information as confidential and only use it for the purpose of completing your project.

  • Both parties agree to keep each other’s confidential information secure for at least three years after delivery.

8. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • Our total liability is limited to the amount paid for the affected project/order.

  • We are not liable for indirect or consequential losses (e.g., lost sales, missed deadlines, business interruption).

  • Goods supplied “in trade” are excluded from the Consumer Guarantees Act unless you are a personal consumer.

9. Force Majeure

Ōtautahi Apparel shall not be liable for delays or failure to perform due to events beyond our control, including natural disasters, strikes, pandemics, or supplier disruptions.

10. Amendments & General Conditions

  • We may update these terms from time to time. Updated terms apply to future orders once shared with you.

  • These terms are governed by the laws of New Zealand.

  • If any clause is unenforceable, the rest still apply.

  • We may subcontract work without notice (e.g., embroidery, specialist printing).

11. Acceptance of Terms

By approving a quote, design proof, or invoice, you agree to these Terms and Conditions.
